Our drafting principlesمبادئنا في الصياغة

A contract is not a recitation of deal terms. It is a forecast of disagreement, written before the disagreement occurs. We draft every clause with the question: when this fails, how does this read? If a clause only makes sense while the parties are friendly, it is not yet a clause. العقد ليس تلاوة لشروط الصفقة. إنه توقع للخلاف، مكتوب قبل حدوثه. نصيغ كل بند بالسؤال: حين يفشل هذا، كيف يُقرأ؟ إذا كان البند لا يُفهم إلا حين يكون الطرفان على وفاق، فهو ليس بنداً بعد.

Enforceabilityقابلية التنفيذ

A Saudi court will not enforce a clause that offends public policy, attempts to waive a statutory right, or contravenes mandatory provisions of the Civil Transactions Law, the Labor Law, the Commercial Courts Law, or the Companies Law. Bilingual draftingالصياغة ثنائية اللغة

For cross-border matters, we produce parallel-language contracts: Arabic as the controlling version (where the contract is to be enforced in the Kingdom) or English as the controlling version (where it is to be enforced abroad). The non-controlling version is reviewed for substantive equivalence — not just literal translation. للمسائل العابرة للحدود، نُصدر عقوداً بلغتين متوازيتين: العربية كنسخة حاكمة (حين يُنفذ العقد في المملكة) أو الإنجليزية كنسخة حاكمة (حين يُنفذ في الخارج). تُراجع النسخة غير الحاكمة للتكافؤ الموضوعي — وليس فقط الترجمة الحرفية.
